Our governance approach

We are dedicated to maintaining strong, transparent, and accountable governance at all levels of our operations. We support responsible practices in both production and consumption, encouraging businesses, especially large and multinational companies, to adopt sustainable methods and share their progress openly. Board of Directors

The Board of Directors is responsible for the strategic direction and management of CSG Group. It ensures adherence to our mission and values while achieving sustainable growth. The Board oversees major decisions, including financial management, business strategy, and corporate governance, to ensure the long-term success and resilience of the group.

Supervisory Board

The Supervisory Board plays a crucial role in maintaining accountability within CSG Group. It monitors the activities of the Board of Directors, ensuring that all actions and decisions comply with legal regulations and align with the company's best interests. By providing independent oversight, the Supervisory Board safeguards the integrity of the governance processes and promotes transparency.

Divisions

CSG Group is organised into 5 divisions that reflect our broad sectorial focus. CSG Divisions, are led by Managing Directors, who are responsible for overseeing the divisions‘ operations and strategic direction. The Managing Directors act as the primary link between the division and the Board of Directors, ensuring alignment with the company's overall goals. Key responsibilities include developing and implementing strategic plans, managing day-to-day operations, overseeing financial performance, setting and monitoring performance targets, and providing regular updates to the Board.

Defence: CSG Defence's portfolio of companies includes the development, production and sale of military and special wheeled and tracked vehicles, off-road trucks, weapons and weapon systems.

Ammo+: CSG Ammo+ focuses on the development, production and sale of small calibre ammunition for the sport, hunting and security sectors.

Mobility: The division brings together companies operating in the transport sector, particularly in the automotive and rail industries.

Aerospace: CSG Aerospace develops and manufactures radars, air traffic control systems, air defence systems and provides aerospace services.

Business Projects: The CSG Business Projects division includes companies that do not fit directly into any of CSG's core business areas, but still have strong potential or represent an interesting business opportunity.

Committees

Sustainability Committee - established as an advisory body to the Board of Directors of CSG Group, aims to promote and oversee the Group's sustainability initiatives. Its primary tasks include developing and implementing sustainability strategies, monitoring environmental compliance, and advising on sustainable business practices.

Audit Committee – established as an advisory body to the Board of Directors of CSG Group, aims to oversee the integrity and transparency of the Group's financial reporting processes. Its primary tasks include monitoring the external audit function, reviewing the Group's financial statements and disclosures, ensuring compliance with accounting standards and regulatory requirements, and advising on financial governance practices.

Internal Audit Committee – established as an advisory body to the Board of Directors of CSG Group, aims to ensure the integrity of the Group's financial reporting and internal control systems. Its primary tasks include overseeing the internal audit function, monitoring the effectiveness of risk management processes, and providing recommendations to improve internal controls and governance practices.
